RBW Agricultural LLC Authorized Dealer Digital Media Use Disclaimer
By accepting, downloading, accessing, or using any photographs, videos, graphics, logos, product images, or other digital media (“Digital Media”) provided by RBW Agricultural LLC (“RBW”), the undersigned Authorized Dealer agrees to the following terms and conditions:
Authorized Purpose.
Digital Media provided by RBW is made available exclusively for the purpose of promoting, advertising, marketing, and selling genuine RBW Agricultural LLC products. Authorized Dealers may use the Digital Media on their websites, social media accounts, online marketplaces, print advertisements, catalogs, brochures, email marketing, and other legitimate advertising or promotional materials directly related to RBW products.
No Unrelated Use.
Digital Media may not be used for any purpose unrelated to the promotion, advertising, marketing, or sale of RBW products without the prior written authorization of RBW Agricultural LLC.
No Resale or Transfer.
Digital Media is provided for the Authorized Dealer’s promotional use only and may not be sold, licensed, sublicensed, transferred, distributed, or otherwise provided to any third party for compensation or for any unrelated purpose.
No Modification or Misrepresentation.
Authorized Dealers may not alter, edit, manipulate, or modify Digital Media in a manner that misrepresents RBW products, their features, performance, appearance, specifications, or intended use. RBW trademarks, logos, and branding contained in the Digital Media may not be altered or used in a manner that suggests an affiliation or endorsement beyond the Authorized Dealer relationship.
Ownership.
All rights, title, and interest in and to the Digital Media remain with RBW Agricultural LLC and/or its respective licensors. Nothing in this disclaimer grants an Authorized Dealer ownership of, or any independent intellectual property rights in, the Digital Media.
Termination of Use.
RBW Agricultural LLC reserves the right to revoke an Authorized Dealer’s permission to use any Digital Media at any time. Upon termination of the Authorized Dealer relationship, or upon written request from RBW, the Authorized Dealer must discontinue use of the applicable Digital Media and remove it from its websites, social media accounts, advertising materials, and other promotional channels within a reasonable period specified by RBW.
Compliance.
The Authorized Dealer agrees to use the Digital Media in a manner consistent with RBW Agricultural LLC’s brand, reputation, products, and dealer policies and in compliance with all applicable laws and regulations.
By using Digital Media supplied by RBW Agricultural LLC, the Authorized Dealer acknowledges that it has read, understands, and agrees to comply with these terms. Any use outside the purposes expressly permitted above requires prior written authorization from RBW Agricultural LLC.
